  1. Scope & Acceptance

1.1 These Terms apply to all professional sales by NEXA Skin Med Ltd (“NEXA”) to clinics, salons, or authorized resellers (“Professional Customers”).
1.2 By placing an order or accepting a pro-forma invoice, you confirm acceptance of these Terms.

  1. Eligibility & Professional Status

2.1 Professional Products are sold only to qualified practitioners or registered businesses competent to use or resell them.
2.2 You must maintain valid insurance and professional certification and provide evidence if requested.
2.3 NEXA reserves the right to suspend or terminate supply if documentation or conduct is non-compliant.

  1. Orders & Contract Formation

3.1 Display of Products is an invitation to treat; your order constitutes an offer.
3.2 A Contract forms only upon written or electronic acceptance and receipt of full cleared payment.
3.3 NEXA may decline, cancel, or partially fulfill orders at its discretion.

  1. Prices & Payment

4.1 Prices are in GBP, exclusive of VAT unless stated otherwise.
4.2 Pay-Before-Delivery: Orders are dispatched only after cleared funds.
4.3 All payments must be made without deduction, set-off, or counterclaim.
4.4 Failure to pay in full may result in withheld deliveries and account suspension.

  1. Delivery, Risk & Title

5.1 Delivery times are estimates only; time is not of the essence.
5.2 Risk passes on delivery; title transfers after full cleared payment.
5.3 If payment is reversed or recalled, NEXA may repossess unpaid goods.

  1. Inspection & Damage Claims

6.1 You must inspect all deliveries upon receipt and report damage or shortages within 48 hours with clear photographic evidence.
6.2 Claims after 48 hours may be rejected if delay prevents carrier investigation.

  1. Returns & Replacements

7.1 Returns require prior written authorization (RMA). Unauthorized returns will be refused.
7.2 Only resaleable, unopened, hygiene-sealed Products may be accepted at NEXA’s discretion; restocking fees may apply.
7.3 Refunds are exceptional; replacement or credit note is the standard remedy.

  1. Professional Use & Competence

8.1 Products marked “professional use only” must be applied or supplied solely by qualified practitioners.
8.2 You are responsible for ensuring proper training, hygiene, storage, and lawful treatment use.

  1. Resale and Advertising Restrictions

9.1 Products supplied by NEXA Skin Med Ltd are not to be resold, listed, or advertised on Amazon, eBay, Etsy, or any similar marketplaces.
9.2 Authorized partners may promote and sell Products on their own websites or social media pages, but must not display prices publicly.
9.3 Any breach of this clause will result in immediate suspension of supply and may lead to termination of your professional account.

  1. Product Safety & Traceability

10.1 You must store Products per manufacturer’s guidance, maintain batch/lot records, and cooperate fully in any recall or investigation.
10.2 Safety issues or adverse reactions must be reported to NEXA immediately.

  1. Intellectual Property

All trademarks, trade names, logos, photography, and other intellectual property remain the property of their owners. Use is allowed only for authorized promotion of genuine Selvert Thermal and Nexa Skin Med products.

  1. Indemnity & Liability

12.1 You indemnify NEXA against losses or claims arising from misuse, off-label use, improper storage, or sale to unqualified persons.
12.2 NEXA’s aggregate liability is limited to the price paid for the Products in question.
12.3 Nothing excludes liability for death or personal injury due to negligence or fraud.

  1. Data Protection

13.1 NEXA acts as controller for business contact data shared during orders.
13.2 You must ensure any client data shared with NEXA is lawful, minimal, and secure.

  1. Force Majeure

NEXA is not liable for any delay or failure due to events beyond its reasonable control (including transport, import, or supplier disruptions).

  1. Changes & Governing Law

15.1 NEXA may update these Terms periodically; the version in force at the time of order applies.
15.2 These Terms are governed by the laws of England & Wales, with exclusive jurisdiction of its courts.
